Registering a Singly Owned Israeli Company

Probably the simplest way to incorporate an Israeli limited liability company (contrary to an "Israeli Foreign Company" or , e.g. an "Israeli Branch") is by a special procedure intended for companies with a single shareholder and director ("Singly Owned Company").

The first thing to consider before registering a Singly Owned Company in Israel is the nationality of the shareholder and director (e.g. the country of registration if the shareholder is a foreign corporation or the passport's country of issuance for an individual shareholder). This is necessary to verify if the "Hague Convention Abolishing the Requirement for Legislation for Foreign Public Documents" (the Apostille convention) applies.

Assuming that the Apostille convention applies, the following documents are required to register the Singly Owned Company:

1. Approved copies of registration certificate or passport:

a. For an individual shareholder and director: Two (2) copies of the passport Apostilled and approved by an Israeli embassy  or a consulate representative.

b. For an Incorporated entity shareholder and director:

Two (2) copies of an Apostilled copy of the incorporation documents of the company and a Hebrew translation certified by an Israeli notary, and -

Two (2) copies of an Apostilled certificate of good standing and a Hebrew translation certified by an Israeli notary.

2. Two (2) copies of a request to incorporate a Singly Owned Company approved by an Israeli embassy or a consulate representative or by an Israeli attorney (if the request is singed in Israel).

The request will detail the shareholders, directors and registered capital of the company as well as certain declarations necessary under law. The request must be in Hebrew (our firm can provide an English translation at cost).

3. The name and address of an individual in Israel authorized to receive legal documents and notices on behalf of the company (Our firm can serve as the local address for a modest fee).

The registration procedure usually takes 2 business days (if filed with a legal currier) or up to 7 business days (otherwise).

After the registration is complete, the Israeli Companies Registrar will issue a certificate of incorporation and a company number (of 9 digits).

After the incorporation is complete the company will need a local tax representative (an accountant) to register the company with the tax authorities and prepare annual tax reports.
